1. Acceptance & Eligibility
By accessing or using the EazySip website/app (the "Platform"), you agree to these Terms & Conditions ("Terms"). You must be at least 18 years old, capable of entering into a valid contract under the Indian Contract Act, 1872, and KYC-compliant to transact in mutual fund schemes through the Platform.
2. Nature of Services
Dzambala Financial Services LLP provides the Platform in its capacity as an AMFI-registered Mutual Fund Distributor (ARN-313834) only. Our regulatory status, the capacity in which services are offered, and the risk factors applicable to mutual fund investments are set out in the EazySip Website Disclaimer, which forms part of these Terms.
3. Registration & KYC
You must complete KYC in accordance with SEBI KYC Registration Agency (KRA) Regulations, 2011 and the Prevention of Money Laundering Act, 2002 and rules thereunder, including Aadhaar-based e-KYC where you consent to and avail of such facility. We may suspend, restrict or decline any transaction where KYC is incomplete or non-compliant, or where required under our anti-money-laundering obligations, including reporting suspicious transactions to the Financial Intelligence Unit-India (FIU-IND).
4. Transactions, SIPs & E-Mandates
Purchase, SIP, switch and redemption instructions are subject to the scheme's offer document, applicable NAV and cut-off-time norms prescribed by SEBI, and processing by the concerned AMC/RTA. SIP auto-debits are executed under e-mandates registered under the RBI Digital Payments – E-Mandate Framework; recurring debits up to the RBI-prescribed threshold may be processed without additional-factor authentication once the mandate is registered with authentication, subject to prior debit notification, and you may modify or cancel your e-mandate at any time free of charge. We are not liable for delays in NAV application, credit or redemption caused by AMCs, RTAs, banks or payment systems.
5. Fees, Commission & Direct Plan Disclosure
We do not charge you a separate fee for distribution services; we receive commission/trail brokerage from AMCs for schemes distributed through the Platform, which forms part of the scheme's regular-plan expense ratio. You have the option to invest directly with the AMC under a Direct Plan, which carries a lower expense ratio as it excludes distributor commission; details of commission earned across comparable schemes are available on request, in accordance with AMFI norms.
6. Investor Charter & Grievance Escalation
Your rights and our responsibilities as a distributor, along with grievance-redressal timelines, are set out in the SEBI Investor Charter for Mutual Funds, available on the Platform. Complaints may first be raised with our Grievance Officer; if unresolved, you may approach SEBI SCORES, and thereafter the SEBI-mandated Online Dispute Resolution portal (SMART ODR) for online conciliation/arbitration of securities-market disputes.
7. User Obligations
You must provide true, accurate and current information; keep your KYC, contact and bank details updated; safeguard your login credentials and OTPs; use only your own duly KYC-verified folios; review all transaction confirmations promptly; and comply with applicable law, including PMLA and FEMA (for NRI users), at all times.
8. Prohibited Uses
You must not use the Platform to upload or transmit unlawful, defamatory, infringing, fraudulent or misleading content, impersonate any person, circumvent KYC/AML checks, or misuse the Platform for money laundering or any illegal purpose, in line with the due-diligence requirements applicable to intermediaries under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
9. Suspension & Termination
We may suspend or terminate your access, with or without notice, where required by a regulator/court, on reasonable suspicion of fraud, AML/KYC non-compliance, or breach of these Terms. You may close your account at any time, subject to settlement of pending transactions/obligations.
10. Intellectual Property
All intellectual property in the Platform belongs to Dzambala and/or its licensors, as further detailed in the Website Disclaimer, and no rights are transferred to you under these Terms.
11. Limitation of Liability & Indemnity
Our liability is limited as set out in the Website Disclaimer. You agree to indemnify and hold Dzambala harmless against losses, claims or proceedings arising from your breach of these Terms, provision of inaccurate information, or unauthorised use of your account attributable to your negligence, except to the extent caused by our fraud, wilful default or gross negligence.
12. Third-Party Services
Use of third-party services integrated with the Platform (payment gateways, UPI, banks, KRAs, CAMS/KFin, cloud/API providers) is subject to those third parties' own terms, and Dzambala is not liable for their acts, omissions or outages, as further described in the Website Disclaimer.
13. Electronic Communications & Records
You consent to receive communications, instructions, confirmations and records electronically (SMS/email/app/WhatsApp); such electronic records and communications are valid and enforceable under Section 4 and Section 10A of the Information Technology Act, 2000.
14. Grievance Officer
In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, our Grievance Officer is BINAY PRADHAN (Email: binay@eazysip.com | Phone: 7557051930). We will acknowledge grievances within 24 hours and endeavour to resolve them within 15 days; an appeal against the Grievance Officer's decision may be filed with the Grievance Appellate Committee within 30 days of such decision.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, pandemic, internet/telecom failure, or governmental/regulatory action.
16. General
These Terms constitute the entire agreement between you and Dzambala regarding the Platform. If any provision is held invalid, the remainder shall continue in force. Our failure to enforce any provision is not a waiver. You may not assign your rights under these Terms without our written consent.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to any exclusive statutory forum (including SEBI/Securities Appellate Tribunal, PMLA authorities, SEBI's SCORES/SMART ODR mechanisms, or consumer fora under the Consumer Protection Act, 2019), courts at Gangtok, Sikkim shall have jurisdiction.
18. Amendments
We may amend these Terms at any time; continued use of the Platform after such amendment constitutes acceptance.
